2. Provider identification

AgileCheck is a technology platform operated by Grupo Empresarial Infinitum, S.A., a company registered under the laws of the Republic of Panama (hereinafter, “AgileCheck” or the “Provider”).

AgileCheck offers a specialized technological solution for regulatory compliance, anti-money laundering (AML), know your customer (KYC), ultimate beneficial owner (UBO) identification, monitoring of restricted lists, and risk management.

3. Nature of the service

AgileCheck is a Software as a Service (SaaS) platform designed to assist regulated organizations or those subject to compliance obligations in:

  • Due diligence processes (CDD / EDD)
  • Risk assessments
  • Screening against national and international lists
  • Digital document management
  • Automation of internal controls
  • Compliance registration and traceability

The Service constitutes a technological support tool and does not replace the professional judgment, legal advice, or regulatory responsibility of the Client.

4. Contractual relationship and scope

These Terms govern the general access and use of the website and the platform.

When there is a specific service provision contract, commercial agreement, or Data Processing Agreement (DPA), such documents will prevail over these Terms in case of conflict.

The use of the platform implies express acceptance of these Terms.

5. Client obligations

The Client declares and guarantees that:

  1. They will use the Service solely for legal purposes.
  2. They have legal authorization to process personal data.
  3. They comply with the applicable regulations in their jurisdiction.
  4. They are responsible for the truthfulness of the information entered.
  5. They will maintain adequate internal controls for the use of the system.

The Client is solely responsible for the decisions made based on the results generated by the platform.

6. Regulatory compliance

AgileCheck provides tools that facilitate compliance processes, but:

  • It does not certify the regulatory compliance of the Client.
  • It does not replace regulatory audits.
  • It does not assume responsibility for the Client's legal non-compliance.
  • It does not act as a obligated subject before financial authorities.

Each Client is responsible for complying with the applicable AML, KYC, and data protection laws.

7. License of use

The Client is granted a license:

  • Non-exclusive
  • Non-transferable
  • Limited
  • Revocable

to use the platform in accordance with these Terms and the contracted plan.

It is not allowed:

  • Resale of the service without authorization.
  • Reverse engineering.
  • Copying the software.
  • Use to develop competing products.

8. Information security

AgileCheck implements reasonable technical and organizational measures including:

  • Data encryption in transit (TLS)
  • Role-based access control
  • Audit logs
  • Periodic backups
  • Infrastructure in data centers in the United States

However, no system is absolutely invulnerable.

The Client understands that security also depends on the proper use of credentials and internal policies.

9. Data protection

AgileCheck acts as:

  • Data Processor, when processing data on behalf of the Client.
  • Data Controller, regarding its own operational data.

The processing of personal data is additionally governed by the Privacy Policy and, where applicable, a Data Processing Agreement.

The Client guarantees that it has obtained valid consent when required by law.

10. Availability and service levels

AgileCheck will make reasonable efforts to maintain continuous availability of the Service.

However:

  • There may be scheduled maintenance.
  • Third-party interruptions may occur.
  • Absolute availability is not guaranteed.

The Service is offered on an “as is” and “as available” basis.

11. External integrations

The platform can integrate external services such as:

  • Restricted list providers
  • Validation services
  • Government APIs
  • Payment providers

AgileCheck does not control changes in third-party services and will not be responsible for interruptions arising from them.

12. Fees and plans

Access to the Service may be subject to:

  • Monthly or annual subscriptions
  • Credit-based models
  • Custom enterprise plans

Unless otherwise stated in writing:

  • Payments are non-refundable.
  • Failure to pay may suspend the service.
  • The Client is responsible for applicable taxes.

13. Limitation of liability

To the maximum extent permitted by law:

AgileCheck will not be liable for:

  • Indirect or consequential damages.
  • Loss of profits.
  • Regulatory penalties imposed on the Client.
  • Business decisions based on information processed by the platform.

The total liability of the Provider will not exceed the amount paid by the Client during the last 12 months.

14. Confidentiality

All non-public information exchanged between the parties will be considered confidential.

The Client agrees not to disclose:

  • Technical structure
  • Internal configuration
  • Proprietary methodologies
  • Strategic system information

15. Suspension and termination

AgileCheck may suspend or terminate access when:

  • There is misuse.
  • Illegal activity is detected.
  • There is a risk to system security.
  • There is a payment default.

The Client may cancel their account according to the contracted plan.

16. Force majeure

AgileCheck will not be liable for breaches resulting from events beyond its reasonable control, including:

  • Global infrastructure failures.
  • Massive cyber attacks.
  • Cloud provider interruptions.
  • Government actions.

17. Intellectual property

All rights to:

  • Source code
  • Architecture
  • Algorithms
  • AgileCheck brand
  • Documentation

remain the exclusive property of the Provider.

18. Modifications

AgileCheck may modify these Terms at any time.

The current version will be published on the website with an updated date.

Continued use implies acceptance.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Panama.

Any controversy will be submitted to the competent jurisdiction in Panama, unless a different written agreement is made.

20. Data provided by individuals

We guarantee the confidentiality of the provided data. They will be handled under security measures regarding their use, access, or unauthorized processing.
